Terms of Service

These Terms of Service (“Terms”) govern your use of the ChromaVid website and service (the “Service”), which colorizes black-and-white videos and photos. The Service is operated by Code Leash LLC(“we,” “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Your account

• You must be at least 18 years old, or the age of majority where you live, to create an account.
• Give us an accurate email address and keep your password secret. You are responsible for everything done through your account.
• Tell us right away at info@chromavid.ai if you think someone else has used your account.
• One person per account. Do not create several accounts to get more of the free allowance.

2. Your content

You keep all rights to the videos and photos you upload(“Your Content”) and to the colorized results we produce from them. You give us a limited, worldwide, non-exclusive, royalty-free license to store, copy, process and display Your Content only as needed to run the Service for you: to colorize it, show it to you, and let you download it. We do not use Your Content to train our models, and we do not show it to other users or publish it, unless you give us separate permission.

When you upload content, you confirm that:

• you own it or have every permission needed to upload it and to have it colorized and copied; and
• uploading and processing it does not break any law or anyone else’s rights, including copyright, privacy and publicity rights.

3. What you may not do

You agree not to use the Service to upload, process or create:

• any sexual content involving minors, which we report to the authorities;
• sexual or intimate images of a real person without their consent, or content meant to deceive people about who is shown or what happened;
• content that is illegal where you live, or that harasses, threatens or defames anyone;
• content you do not have the rights to.

You also agree not to:

• try to get into accounts, systems or data that are not yours, or probe, scan or test the Service for weaknesses without our written permission;
• upload malware, or interfere with or overload the Service;
• copy, resell or reverse engineer the Service, or use bots or scripts to get around its limits;
• remove or hide the watermark on Free plan output.

We may remove content and suspend or close accounts that break these rules. If you believe content on the Service infringes your copyright, email info@chromavid.ai with the details a notice under the U.S. Digital Millennium Copyright Act requires, and we will respond.

4. Colorized results

Colorization is produced by machine-learning models. The colors are the model’s estimate, not a record of the original colors, and results vary with the quality of the source. Check the result before you rely on it, and say it was colorized when that matters (for example, in historical or news work).

5. Plans, minutes and payment

• Free plan. Without a paid plan you can colorize 30 seconds of video and 1photo a day (UTC). Free plan output carries a “ChromaVid” watermark.
• Paid plans are billed monthly in advance and include a number of minutes each period. Unused plan minutes do not carry over. Plans renew automatically until you cancel; canceling takes effect at the end of the period you have paid for, and you keep your minutes until then.
• Extra minutes bought in packs or by auto top-up carry over from month to month while your account is open. Auto top-up is off unless you turn it on and set a monthly budget; when it is on, we charge your default card for more minutes when a job needs them, up to that budget.
• A video uses its length (or the trimmed part) in minutes, rounded up to the second; a photo uses a small flat amount shown on the plans page. Prices are shown before you pay and are in U.S. dollars, plus any taxes.
• Payments are processed by Stripe. By paying, you also agree to Stripe’s terms. We never see or store your full card number.
• Refunds. Payments are non-refundable, except where the law requires a refund or where we decide to give one. Minutes are used only when a job finishes: a job that fails or that you cancel uses none.
• We may change prices or plans. Changes to a paid plan take effect at your next renewal, and we will tell you before then.

6. Our service

The Service, its software, models and design belong to us or our licensors and are protected by law. We give you a personal, non-transferable right to use the Service under these Terms. We may change, add or remove features, and we may suspend the Service for maintenance or for reasons outside our control.

Keep your own copies of anything important. We may delete files after your account closes (see the Privacy Policy), and we are not a backup service.

7. Ending your account

You can stop using the Service at any time, and ask us to close your account by emailing info@chromavid.ai. We may suspend or close your account if you break these Terms, if we have to by law, or if we stop offering the Service; where we reasonably can, we will tell you first. Sections 2 (the rights you give us end when your content is deleted), 6, 8, 9 and 10 survive the end of your account.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY COLORIZATION WILL BE ACCURATE.

9. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND $100. Some places do not allow these limits, so they may not all apply to you.

10. Indemnity

You agree to defend and hold us harmless from claims, losses and costs (including reasonable legal fees) that arise from Your Content or from your breaking these Terms or the law.

11. Governing law

These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in Texas, and you and we agree to their jurisdiction. If you are a consumer, you also keep any protections the law of the place where you live gives you.

12. Changes to these Terms

We may update these Terms. We will post the new version here with a new “Last updated” date and, for material changes, tell you by email or in the app before they take effect. If you keep using the Service after that, you accept the new Terms.

13. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part of them cannot be enforced, the rest still applies. If we do not enforce a part right away, we have not given up the right to. You may not transfer these Terms; we may transfer them as part of a merger, sale or reorganization.
